Vivant Hydrocore Holdings, Inc. to Divest Equity Interest in Watermatic Philippines Corporation

Signing of Share Sale and Purchase Agreement (SSPA) by Vivant Hydrocore Holdings, Inc. (VHHI) to divest equity interest in Watermatic Philippines Corporation (WMP)

Vivant Corporation was given notice by its wholly-owned subsidiary, Vivant Hydrocore Holdings, Inc. (VHHI), that Watermatic International, Ltd. (WMI), its co-shareholder in Watermatic Philippines Corporation has offered to purchase its equity stake in the said company subject to the fulfillment of certain conditions in the Signing of Share Sale and Purchase Agreement (SSPA) signed on October 11, 2024 and the execution of final transaction documents upon full payment.

The divestment was approved by the Board of Directors of Vivant Infracore Holdings, Inc. (VIHI) on September 19, 2024 and VHHI on October 10, 2024 and acknowledged and re-affirmed by the Vivant Corporation Board of Directors on October 11, 2024. VHHI is a wholly owned subsidiary of Vivant Infracore Holdings, Inc. (VIHI), the holding company for the water-related investments of publicly listed conglomerate Vivant Corporation (PSE:VVT)

The exit enables VHHI to strategically focus on further intensifying its growth initiatives across other segments of the water infrastructure sector.

The terms and conditions of the transaction:

Number of shares to be acquired or disposed: 31,875,000

Watermatic Philippines Corporation (WMP) is a joint venture company of Vivant Corporation and WaterMatic International that is in the business of providing engineering, procurement, and construction services, particularly supplying and procuring the assembly, installation, lay-out, commissioning, operation, and maintenance of water and wastewater treatment facilities in the Philippines.
