The Keepers Holdings intends to acquire up to 50% subscribed and outstanding shares of Cervia Global Trading

On 15 July 2025, the Board of Directors of The Keepers Holdings, Inc. held a special meeting where it approved the company's proposed acquisition of Cervia Global Trading, Inc., another domestic corporation.

The Company's Board of Directors likewise appointed its attorney-in-fact and authorized signatory for the said transaction.

The acquisition of a 50% stake in Cervia Global Trading, Inc. gives The Keepers Holdings, Inc. a strategic entry point into the premium local spirits market, while also positioning the company for growth in international markets.

The terms and conditions of the transaction:
 
Number of shares to be acquired or disposed: 125,000
Percentage to the total outstanding shares of the company subject of the transaction: 50%
Price per share: P320
 
The Keepers Holdings, Inc. shall pay cash to Mr. Caesar R. Certeza, Mr. Mark Daniel L. Rivera, Mr. Vernon A. Carandang, and Ms. Margherita Y. Rauto in exchange of their respective shareholdings, totaling to fifty percent (50%) of the subscribed and outstanding capital stock of Cervia Global Trading, Inc.
