SM Prime Holdings, Inc. received from the Securities and Exchange Commission (SEC) the Order of Registration for the Company’s P100 billion debt securities program under shelf registration (Debt Securities Program) and the Certificate of Permit to Offer Securities for Sale for the issuance of fixed-rate retail bonds comprising of: Series V Bonds, maturing in 3 years from its issue date at a rate of 6.5754%; Series W Bonds, maturing in 5 years from its issue date at a rate of 6.7537%; and Series X Bonds, maturing in 7 years from its issue date at a rate of 6.9650% (the First Tranche Bonds). The Company has submitted to the SEC a Registration Statement in relation to its application for the Shelf Registration of Debt Securities amounting to P100 Billion. The Company’s proposed initial bond offering is up to P20 billion, with an over subscription option of up to P5 billion consisting of 3-year Series V Bonds due in 2027, 5-year Series W Bonds due in 2029, and 7-year Series X Bonds due in 2031.
