Metro Pacific Acquires P12.4-B Meralco Stake from San Miguel Global Power
Major shifts are underway in the Philippine energy sector. In a disclosure released to the Philippine Stock Exchange (PSE), San Miguel Global Power Holdings Corp. (SMGP) announced that it entered into a Sale and Purchase Agreement with Metro Pacific Investments Corporation (MPIC) on October 1, 2026.
Under the agreement, MPIC has agreed to purchase—and SMGP has agreed to sell—21,414,758 common shares of the Manila Electric Company (Meralco). This block represents approximately 1.90% of Meralco’s total issued and outstanding common shares.

Deal Breakdown at a Glance

  • Buyer: Metro Pacific Investments Corporation (MPIC, led by Manuel V. Pangilinan)
  • Seller: San Miguel Global Power Holdings Corp. (SMGP, led by Ramon S. Ang)
  • Asset: Common shares of Manila Electric Company (Meralco)
  • Number of Shares: 21,414,758 shares (~1.90% stake)
  • Purchase Price: Approximately P580.99 per common share
  • Aggregate Value: Approximately P12.4 billion
  • Execution Mechanism: Special block sale crossed via the Philippine Stock Exchange (PSE)
Reshaping the Meralco Shareholder Structure

This multi-billion-peso transaction marks another pivotal chapter in the relationship between two of the country's biggest conglomerates, helmed by tycoons Manuel V. Pangilinan (MVP) and Ramon S. Ang (RSA).

To recap, SMGP previously secured its position as a significant Meralco shareholder following the resolution of a prolonged legal dispute tied to a 2008 share agreement with the Land Bank of the Philippines.
With this latest block sale:

  • MPIC’s Position: Metro Pacific’s direct and indirect economic interest in Meralco climbs closer to the 49.4% threshold. Market analysts note that keeping the stake just below 50% strategically avoids triggering a mandatory tender offer for all remaining shares.
  • San Miguel’s Holdings: Following the transfer of this 1.90% block, SMGP retains a reduced, yet still notable, interest in the country's premier power distributor.

Market Sentiment and Outlook

Industry experts have largely characterized the transaction as a pragmatic move for both titans. For MPIC, consolidating a larger portion of Meralco underscores a long-term commitment to the country's energy distribution backbone. For San Miguel, monetizing a portion of its equity via a clean special block sale optimizes its capital deployment across its massive pipeline of energy, infrastructure, and battery energy storage system (BESS) projects.

The transaction remains subject to the fulfillment of closing conditions outlined in the contract, with both conglomerates expected to formally announce the completion of the cross through the PSE soon.
