Kepwealth, Inc.'s Acquisition of KPHB Shares Owned by Keppel Ltd.

Keppel Philippines Holdings, Inc. received notice on April 3, 2025, from Kepwealth, Inc. of its acquisition of 16,894,087 KPHB shares owned by Keppel Ltd. in the Corporation at P27.40 per share. This represents 29.52% of the Corporation’s total issued and outstanding shares. With this acquisition, Kepwealth’s shareholdings in the Corporation now stands at 89.86%

The acquisition is pursuant to Kepwealth’s Tender Offer for all the outstanding common shares of the Corporation owned by the stockholders for the purpose of the Corporation’s Voluntary Delisting.

The Board of Directors of Kepwealth, Inc. during its special board meeting held on February 20, 2025 for the voluntary delisting of Keppel Philippines Holdings, Inc. (KPHI) from the Philippine Stock Exchange, Inc. (PSE) and Kepwealth’s notification to the Company of its intentions (i) to make a tender offer (“Tender Offer”) for all the outstanding common shares of the Company (stock symbols: KPH and KPHB) owned by the other stockholders (save for those owned by the members of the Company’s Board of Directors with respect to their qualifying common shares) for the purpose of the Voluntary Delisting at the price of P27.40 per share (“Tender Offer Price”) and (ii) to acquire, prior to the launch of the Tender Offer, Keppel Ltd.’s stockholdings in KPHI, and other KPHI shares from willing sellers in the open market, at the same price as the Tender Offer Price (the “Letter of Intent”), Kepwealth provides this update to the KPHI Board of Directors (the “Notice”). Please be advised that, pursuant to its Letter of Intent, Kepwealth has acquired all 16,894,087 KPHB shares owned by Keppel Ltd. in the Company, representing 29.52% of KPHI’s total issued and outstanding shares, at P27.40 per share, same price as the Tender Offer Price, in a regular block sale transaction at the PSE on  April 2, 2025.
