IP E-Game Ventures, Inc. Investment in a Real Estate Investment Trust (REIT) Corporation

In a PSE Disclosure dated June 21, 2024, on June 20, 2024, at a meeting of the Board of Directors of IP E-Game Ventures, Inc., the Board authorized IP E-Game Ventures, Inc. to invest in a corporation to be incorporated that will engage in the business of a real estate investment trust (REIT), as provided under Republic Act No. 9856 (the Real Estate Investment Trust Act of 2009), including its implementing rules and regulations (the REIT Act), and other applicable law.

IP E-Game Ventures, Inc. further authorized its President and Chief Executive Officer, Jaime Enrique Y. Gonzalez, and/or its Chief Financial Officer, Mary Jenelle C. Palma, to execute and sign the relevant investment and/or subscription agreement(s) and other documents and papers related to the said investment on behalf of IP E-Game Ventures, Inc. The investment of IP E-Game Ventures, Inc. in the REIT corporation is subject to the approval of the pertinent regulatory bodies after compliance with the relevant laws, rules, and regulations in the incorporation, registration, and listing of the said REIT company.

IP E-Game Ventures, Inc. will fund its investment in the REIT Company through a combination of equity, convertible debt, and other instruments.
