Filinvest REIT Corp. Declares Q2 Dividends for 2025, Secures SEC Nod for Festival Main Mall Infusion6/4/2025 Filinvest City, Alabang – The Board of Directors of Filinvest REIT Corp. (FILRT), in a meeting held on June 3, 2025, approved the declaration of its regular quarterly cash dividends amounting to P0.062 per outstanding common share to all stockholders on record as of June 20, 2025 and payable on June 27, 2025. This brings the total dividends announced by the company in 2025 to P0.124 per common share and equivalent to an annualized yield of 7.8 percent, based on the closing share price of P3.19 on June 2, 2025. The latest quarterly dividend announcement covers the income period between January and March 2025.
Meanwhile, FILRT received the approval from the Securities and Exchange Commission (SEC) dated May 27, 2025 for the property-for-share swap transaction with sponsor Filinvest Land, Inc. (FLI). The said deal involves the transfer of ownership for the main mall building of Festival Mall, Alabang in exchange for newly subscribed primary shares of FILRT. This is the same transaction that got the approval of shareholders, in a special stockholders meeting held on March 4, 2025, to transfer the 121,862 square meter gross leasable area (GLA) property into FILRT’s portfolio, in exchange for the subscription of 1,626,003,316 primary common FILRT shares, at an issue price of P3.85 per share. The issue price was set at a 30 percent premium over FILRT’s 30-day VWAP on the date of the announcement, and within the fair value range provided by FTI consulting and LeeChiu Property consultants. This is equivalent to an aggregate value of P6,260,112,766.60. With the SEC approval, FILRT’s portfolio size increased by 37 percent in terms of GLA to 452,310 square meters. The properties’ Weighted Average Lease Expiry (WALE) also extended from an estimated 7.3 years to 14.6 years. “We are pleased to infuse a value-adding asset to our growing portfolio,” said Maricel Brion-Lirio, President and CEO of FILRT. “Our priority remains focused on increasing shareholder value by growing the company and delivering consistent dividends to the public,” she added. The impact of the infusion of Festival Mall will accrue to the revenue stream of FILRT beginning May 29, 2025 and reflect in the next dividend announcement. On the other hand, FLI’s holdings in FILRT increased from 51.06 percent to 63.27 percent on the same date. Filinvest REIT Corp.
