Ayala Land Sustainability-Linked Bonds due 2030 and 2035

​Ayala Land, Inc. (“ALI” or the “Company”) received from the Securities and Exchange Commission (“SEC”) on October 08, 2025 the Certificate of Permit to Offer Securities for Sale ("Permit to Offer Securities”) for its ASEAN Sustainability-Linked Bonds (“Sustainability-Linked Bonds”) consisting of the principal amount of Ten Billion Pesos (P10,000,000,000.00), with an oversubscription option of up to Five Billion Pesos (P5,000,000,000.00), comprising 6.0671% p.a. Series C Bonds due 2030, and 6.3192% p.a. Series D Bonds due 2035 (the “Offer”).

This represents the fourth Tranche of the Company’s existing P50Billion shelf registration for the offering and sale of debt securities in one or more tranches (each a “Tranche”) rendered effective by the SEC on June 13, 2023 by virtue of SEC MSRD Order No. 32, Series of 2023 (the “2023 Program”). Under said 2023 Program, fixed-rate bonds with a principal amount of P10.25 Billion were issued as the first Tranche on June 26, 2023, Sustainability-Linked Bonds with a principal amount of P6.00 Billion were issued as the second Tranche on July 18, 2024, and Sustainability-Linked bonds with a principal amount of P8.00 Billion were issued as the third Tranche on November 13, 2024.

The Company mandated BDO Capital and Investment Corporation, BPI Capital Corporation, China Bank Capital Corporation, East West Banking Corporation, First Metro Investment Corporation, PNB Capital and Investment Corporation, RCBC Capital Corporation, and SB Capital Investment Corporation (collectively, the “Joint Lead Underwriters and Bookrunners”) to manage the Offer. Metropolitan Bank & Trust Company – Trust Banking Group shall serve as the Trustee. The offer period will be from October 9 – 15, 2025 and issuance and listing will be on October 23, 2025.
